User Terms of Service

These User Terms of Service (the “User Terms”) govern your access to and use of the VibeHost hosting and deployment platform and related services (the “Services”). Please read them carefully. Even though you may be signing onto a Workspace set up by your employer, your team, or someone else, these User Terms apply to you as an individual user of the Services. We’re glad you’re here.

First Things First

These User Terms Are Legally Binding

These User Terms are a legally binding contract between you and GNTC Inc. (“GNTC,” “we,” “us”). By accessing or using the Services, or by continuing to access or use the Services after being notified of a change to these User Terms, you confirm that you have read, understood, and agreed to be bound by these User Terms, including the rules set out under “A Few Ground Rules” below.

Customer’s Choices and Instructions

You Are an Authorized User on a Workspace Controlled by a “Client”

A “Client” — an organization or other party — has invited you to a Workspace, the tenant where a group of authorized users may access the Services. If you joined one of your employer’s Workspaces, your employer is our Client. If you joined a Workspace someone created with a personal account to work on a project, that person is our Client and has authorized you to join the Workspace. You may also have been granted access to a specific App via a per-App invitation, share link, or password gate; those access modes are also configured by the Workspace.

What This Means for You — and for Us

The Client has separately agreed to the VibeHost Terms of Service (the “Client Terms”), which authorize the Client to create and configure a Workspace and to invite Authorized Users such as you. When you or another Authorized User uploads files, source code, configuration, or other content to a Workspace, or otherwise causes content to be served at a VibeHost-issued URL or Custom Domain (collectively, “Client Content”), you acknowledge that the Client Content is owned and controlled by the Client. Under the Client Terms, the Client has broad choices over Client Content. For example, the Client may provision or deprovision your access, change App Visibility, issue or revoke share links, configure Custom Domains, set or remove password gates, manage Channels, retain or delete Deployments, transfer or rename Workspaces, or consolidate the Workspace with other Workspaces. These choices and instructions may result in the access, use, disclosure, modification, or deletion of some or all Client Content. For details on available settings, please refer to the VibeHost documentation or contact your Workspace Administrator.

The Relationship Between You, Client, and Us

AS BETWEEN GNTC AND CLIENT, YOU AGREE THAT IT IS SOLELY CLIENT’S RESPONSIBILITY TO: (A) INFORM YOU AND ANY OTHER AUTHORIZED USER OF ANY RELEVANT CLIENT POLICIES AND PRACTICES AND ANY SETTINGS THAT MAY IMPACT THE PROCESSING OF CLIENT CONTENT; (B) OBTAIN ANY RIGHTS, PERMISSIONS, OR CONSENTS FROM YOU AND ANY OTHER AUTHORIZED USER THAT ARE NECESSARY FOR THE LAWFUL USE OF CLIENT CONTENT AND THE OPERATION OF THE SERVICES; (C) ENSURE THAT THE TRANSFER AND PROCESSING OF CLIENT CONTENT UNDER THE CLIENT TERMS IS LAWFUL; AND (D) RESPOND TO AND RESOLVE ANY DISPUTE WITH YOU OR ANY OTHER AUTHORIZED USER RELATING TO OR BASED ON CLIENT CONTENT, THE SERVICES, OR CLIENT’S FAILURE TO FULFILL THESE OBLIGATIONS. GNTC MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, RELATING TO THE SERVICES, WHICH ARE PROVIDED TO YOU ON AN “AS IS” AND “AS AVAILABLE” BASIS.

A Few Ground Rules

You Must Be Over the Legal Age

To the extent prohibited by applicable law, the Services are not intended for and should not be used by anyone under eighteen (18) years of age or the applicable age of majority under the laws of your jurisdiction, whichever is higher. You represent that you are over the legal age and are the intended recipient of the Client’s invitation. You may not access or use the Services for any purpose if either of those representations is untrue.

Content You Shouldn’t Submit

Don’t use the Services to upload, deploy, host, transmit, or share content that:

  • is illegal under applicable law — including content that facilitates human trafficking, child sexual abuse material (CSAM), terrorism, or incitement to violence;
  • infringes someone else’s intellectual property, privacy, publicity, or other rights;
  • is defamatory, obscene, harassing, or that constitutes unlawful discrimination;
  • impersonates a person or organization, or is designed to deceive viewers about its source or authorship (phishing, fraud, lookalike pages targeting brands or institutions, etc.);
  • includes personal data about third parties that you don’t have the right to process;
  • contains malware, exploits, ransomware, spyware, or other malicious code;
  • mines cryptocurrency, runs distributed computation unrelated to the apparent purpose of the App, or operates unauthorized proxy or relay services; or
  • includes classified information, controlled technical data, or anything whose export or disclosure would violate applicable export-control or sanctions law.

Things You Shouldn’t Do

Don’t abuse the Services. Don’t introduce malicious code, run denial-of-service attacks, or probe for vulnerabilities. Don’t hammer the Services beyond configured rate limits or technical limits documented in the Services (such as upload-archive size or per-file limits). Don’t reverse engineer, decompile, disassemble, or attempt to derive the source code or underlying algorithms of the Services. Don’t share your sign-in credentials, API tokens, or CLI authentication with anyone else. Don’t scrape, crawl, or systematically extract data from the Services other than through authorized APIs used in accordance with the documentation. And don’t use the Services to develop, train, or build a competing hosting, CDN, or deployment product.

Don’t bypass access controls. Don’t try to access any account, Workspace, App, Channel, or content that you haven’t been given access to. Don’t try to guess, brute-force, or circumvent share links, password gates, Visibility settings, or per-App permissions. If you accidentally see content you shouldn’t have access to, stop, log out, and let us or your Workspace Administrator know.

Don’t misuse AI-generated content. You may use AI coding tools to produce content that you upload to a Workspace; those tools are operated by third parties, and you are responsible for reviewing their outputs before uploading them. Don’t use AI output, or content built with AI tools, to produce or distribute materially misleading information, impersonate real people, generate non-consensual intimate imagery of identifiable persons, or evade content filters in the tools you used. Don’t rely on AI output as the sole basis for medical, legal, financial, regulatory, or other high-stakes decisions without qualified human review.

Keep Your Account Safe

Keep your credentials private. Don’t share your sign-in, your CLI tokens, MCP authentication, or OAuth grants. If you administer a Workspace, grant least-privilege access when you add members and configure Grants. Don’t try to access any account, Workspace, or App that isn’t yours. If something looks wrong — unexpected sign-ins, leaked credentials, suspicious activity — let us know at contact@vibehost.com right away.

You Are Here at the Pleasure of Client (and Us)

These User Terms remain effective until the Client’s subscription for the Workspace expires or terminates, or your access to the Services has been terminated by the Client or by us. Please contact the Client if at any time or for any reason you wish to terminate your access, including due to a disagreement with any update to these User Terms.

Limitation of Liability

If we believe that there is a violation of the Client Terms, these User Terms, or any of our other policies that can be remedied by the Client’s removal of certain Client Content or by the Client taking other action, we will, in most cases, ask the Client to take action rather than intervene directly. We may step in ourselves and take what we determine to be appropriate action (including disabling your account) if the Client does not act, or if we believe there is a credible risk of harm to us, the Services, other Authorized Users, or third parties.

IN NO EVENT WILL YOU OR GNTC HAVE ANY LIABILITY TO THE OTHER FOR ANY LOST PROFITS OR REVENUES OR FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, COVER, OR PUNITIVE DAMAGES HOWEVER CAUSED, WHETHER IN CONTRACT, TORT, OR UNDER ANY OTHER THEORY OF LIABILITY, AND WHETHER OR NOT THE PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. UNLESS YOU ARE ALSO A CLIENT (AND WITHOUT LIMITATION TO OUR RIGHTS AND REMEDIES UNDER THE CLIENT TERMS), YOU WILL HAVE NO FINANCIAL LIABILITY TO US FOR A BREACH OF THESE USER TERMS. OUR MAXIMUM AGGREGATE LIABILITY TO YOU FOR ANY BREACH OF THESE USER TERMS IS ONE HUNDRED U.S. DOLLARS (USD 100) IN THE AGGREGATE. THE FOREGOING DISCLAIMERS WILL NOT APPLY TO THE EXTENT PROHIBITED BY APPLICABLE LAW AND DO NOT LIMIT EITHER PARTY’S RIGHT TO SEEK AND OBTAIN EQUITABLE RELIEF.

Application of Consumer Law

VibeHost is a developer tool intended for software development, deployment, and hosting workflows, primarily for use by businesses, organizations, and individual developers, and not for consumer purposes. To the maximum extent permitted by law, you acknowledge and agree that consumer protection laws do not apply. If any non-excludable consumer laws do apply in your jurisdiction, nothing in these User Terms will restrict, exclude, or modify any statutory warranties, guarantees, rights, or remedies you have, and our liability is limited (at our option) to the resupply of the Services or the pro-rata refund to the Client of pre-paid fees for the subscription covering the remainder of the term.

Survival

The sections titled “The Relationship Between You, Client, and Us,” “Limitation of Liability,” “Application of Consumer Law,” “Survival,” and all of the provisions under the general heading “General Provisions” will survive any termination or expiration of these User Terms.

General Provisions

Email and Notices. Except as otherwise set forth in these User Terms, all notices to you under these User Terms will be by email to the address associated with your account, or by in-platform notification through the Services. Notices to GNTC should be sent to contact@vibehost.com. A notice will be deemed to have been duly given (a) the day after it is sent, in the case of a notice sent by email; and (b) the same day, in the case of a notice sent through the Services. Notices under the Client Terms will be delivered solely to the Client in accordance with the terms of that agreement.

Privacy Policy. Please review the VibeHost Privacy Policy for information on how we collect and use data relating to your use of the Services.

Modifications. As our business evolves, we may change these User Terms. If we make a material change, we will provide you with reasonable notice prior to the change taking effect, either by emailing the address associated with your account or by messaging you through the Services. You can review the most current version of these User Terms at any time through the Services or on the VibeHost website. Any material revisions will become effective on the date set forth in our notice, and all other changes will become effective on the date we publish the change. If you use the Services after the effective date of any changes, that use will constitute your acceptance of the revised User Terms.

Waiver. No failure or delay by either party in exercising any right under these User Terms will constitute a waiver of that right. No waiver under these User Terms will be effective unless made in writing and signed by an authorized representative of the party being deemed to have granted the waiver.

Severability. These User Terms will be enforced to the fullest extent permitted under applicable law. If any provision is held by a court of competent jurisdiction to be contrary to law, that provision will be modified by the court and interpreted so as best to accomplish the objectives of the original provision to the fullest extent permitted by law, and the remaining provisions will remain in full force and effect.

Assignment. You may not assign any of your rights or delegate your obligations under these User Terms, whether by operation of law or otherwise, without our prior written consent (not to be unreasonably withheld). We may assign these User Terms in their entirety, without your consent, to a corporate affiliate or in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of our assets.

Governing Law; Venue; Fees. These User Terms, and any disputes arising out of or related to them, will be governed exclusively by the laws of Taiwan (Republic of China), without regard to conflicts-of-laws rules or the United Nations Convention on the International Sale of Goods. The Taipei District Court (臺灣臺北地方法院) as the court of first instance will have exclusive jurisdiction to adjudicate any dispute arising out of or relating to these User Terms, or their formation, interpretation, or enforcement. Each party hereby consents and submits to the exclusive jurisdiction of such courts. In any action or proceeding to enforce rights under these User Terms, the prevailing party will be entitled to recover its reasonable costs and attorneys’ fees.

Entire Agreement. These User Terms, together with any terms incorporated by reference, constitute the entire agreement between you and GNTC concerning the Services and supersede all prior and contemporaneous agreements, proposals, or representations, written or oral, concerning their subject matter. To the extent of any conflict or inconsistency between these User Terms and any pages referenced in these User Terms, the terms of these User Terms will first prevail; provided, however, that if there is a conflict or inconsistency between the Client Terms and these User Terms, the terms of the Client Terms will first prevail, followed by the provisions in these User Terms, and then followed by the pages referenced in these User Terms (e.g., the Privacy Policy). The Client will be responsible for notifying Authorized Users of any such conflicts or inconsistencies, and until that time the terms set forth herein will be binding.
